Terms of Service

This Terms of Use ("Agreement") is between you (also referred to herein as "user", "you" and "your") and Sloika Industries, Inc. operating Moai and its applicable subsidiaries ("Moai", "we", "us" and "our"). This Agreement governs your use of the services provided by us described below, including the Moai Services ("Moai").

By using Moai, you agree that you have read, understand, and accept all of the terms and conditions contained in this Agreement. To be eligible to use Moai and certain add-on services offered by third parties and made available to you via Moai, you must be a resident of the one of the countries in which the applicable Services are supported and be at least 18 years of age or (if greater) the age of majority in your country of residence.

We may make changes to the Agreement from time to time. If we do this, we will post the changed Agreement on the Site and will indicate at the top of this page the date the Agreement was last revised. You understand and agree that your continued use of Moai after we have made any such changes constitutes your acceptance of the new Agreement.

IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 11. PLEASE READ THE AGREEMENT CAREFULLY.

1. Moai Services

Moai provides a non-custodial digital wallet service integrated with Telegram that allows users to store, send, receive, and manage digital assets including cryptocurrencies. Our services include but are not limited to:

  • Digital wallet functionality
  • Cross-border payments and remittances
  • Token swapping services
  • Prediction market access
  • On-chain lottery participation
  • DeFi protocol integration

2. Non-Custodial Wallet Details

Moai operates as a non-custodial wallet service. This means:

  • You maintain full control over your private keys and digital assets
  • We do not have access to your funds or private keys
  • You are solely responsible for securing your wallet credentials
  • Loss of access credentials may result in permanent loss of funds
  • We cannot reverse transactions or recover lost funds

3. Fees and Taxes

While Moai offers zero-fee transactions for most operations, you acknowledge that:

  • Network fees may apply for blockchain transactions
  • Third-party services may charge their own fees
  • You are responsible for all applicable taxes on your transactions
  • Currency conversion rates may apply for cross-border transactions

4. Risk Factors

Using digital asset services involves significant risks, including but not limited to:

  • Volatile market prices and potential loss of value
  • Regulatory changes that may affect service availability
  • Technical vulnerabilities and cyber security risks
  • Smart contract risks and potential bugs
  • Irreversibility of blockchain transactions

5. Prohibited Use

You agree not to use Moai for any unlawful purposes, including but not limited to:

  • Money laundering or terrorist financing
  • Fraud or any other illegal activities
  • Violating sanctions or embargo regulations
  • Attempting to hack or compromise our systems
  • Impersonating others or providing false information

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

7. Indemnification

You agree to indemnify and hold harmless Moai, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these terms.

8. Termination

We reserve the right to suspend or terminate your access to Moai at any time for violation of these terms or for any other reason at our sole discretion. You may terminate your use of our services at any time.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
